Standard Terms and Conditions of Sale

1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
2. Invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Tech Ops PH reserves the right to request fixed interest amounting to 10% of the sum remaining due and may suspend service delivery without prior warning in the event of late payment.
3. If a payment is still outstanding more than sixty (60) days after the due payment date, Tech Ops PH reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
4. Certain countries apply withholding at source on invoice amounts under their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Tech Ops PH become involved in costs related to a country's legislation. The full invoice amount therefore remains due to Tech Ops PH.
5. Tech Ops PH undertakes to do its best to supply performant services within the agreed timeframes. However, obligations are obligations of means, not guarantees of a particular result. Tech Ops PH cannot be required to appear as a third party in any claim for damages filed against the client by an end consumer.
6. To be admissible, any claim must be notified to Tech Ops PH by recorded written notice to its registered office within eight (8) days of delivery of the goods or provision of the services.
7. All contractual relations will be governed exclusively by Philippine law, unless otherwise stated in a separately executed written agreement.

Copyrights and Trademarks

Unless otherwise noted, all materials on this website are protected as the copyrights, trade dress, trademarks, and intellectual property owned by Tech Ops PH and its subsidiaries and affiliates, or by other parties that have licensed their material to Tech Ops PH.

Personal and Non-Commercial Use Limitation

No material from this website or any website owned, operated, licensed, or controlled by Tech Ops PH may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way. You may download one copy of the materials on any single computer for your personal and non-commercial home use only, provided you keep intact all copyright and other proprietary notices.

Project Acceptance and Design Charges

The customer will appoint a single point of authority to communicate decisions and approvals. If another person is designated to provide the approval, that person must be clearly identified as the customer representative for the project.

Any customer-approved estimate or proposal constitutes a formal agreement. All work requires prior approval before execution. Unless otherwise stated, design charges are not included in implementation, production, or hosting charges and are billed separately.

Payment Methods and Standard Payment Terms

Tech Ops PH accepts payments via bank deposit, online transfer, and GCash, unless a different payment channel is agreed to in writing. Payment references should clearly identify the invoice, quote, or project being paid.

Cancellations, Refunds, and Liabilities

Work already performed, committed external costs, and approved billable phases remain chargeable if a project is cancelled after approval. Refunds, where applicable, are limited to amounts received for work not yet performed and not yet committed to third-party costs.

In no event shall Tech Ops PH be liable for any direct, indirect, incidental, special, exemplary, punitive, or consequential damages, or for any damages whatsoever, even if Tech Ops PH has been previously advised of the possibility of such damages.
